END-USER LICENSE AGREEMENT
IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE.
This End-User License Agreement (“EULA”) is a legally binding agreement between you (an individual or entity) and DBSofts (“Licensor”) governing the use of the DBSofts ESF Database Migration Toolkit (the “Software”), including associated software components, media, documentation, and updates. By installing, copying, or using the Software, you agree to be bound by these terms. If you do not agree, do not install or use the Software.
1	LICENSE GRANT
1.1	Installation and Use.
DBSofts grants you a non-exclusive, non-transferable license to install and use the Software on a single computer or virtual machine (VM) running a validly licensed compatible operating system (e.g., Windows 7, 8, 10, 11).
1.2	Backup Copies.
You may create reasonable backup copies of the Software for archival purposes only.
2	LICENSE RESTRICTIONS
2.1	Copyright Notices.
You must retain all copyright, trademark, and proprietary notices on the Software and its copies.
2.2	Distribution.
Registered Copies: Distribution of registered copies to third parties is prohibited.
Evaluation Versions: Unregistered evaluation versions may be freely distributed.
2.3	Reverse Engineering.
You may not reverse engineer, decompile, or disassemble the Software, except as expressly permitted by applicable law.
2.4	License Term.
The license is valid for N months from the purchase date and expires automatically unless renewed.
2.5	License Types:
Single-User License: For use on one computer/VM. Simultaneous use by multiple users is prohibited.
Multi-User License: Permits installation on up to the number of computers/VMs specified in your license pack.
2.6	Transfer Restrictions.
The license is tied to the initial computer/VM where activated and may not be transferred.
2.7	Prohibited Actions.
You may not rent, lease, lend, or use the Software for unauthorized commercial hosting.
3	SUPPORT AND UPDATES
3.1	Support Services.
Support services provided by DBSofts (if any) are subject to this EULA. Supplemental software provided through support constitutes part of the Software.
4	COMPLIANCE AND TERMINATION
4.1	Legal Compliance.
You agree to use the Software in compliance with all applicable laws.
4.2	Termination.
DBSofts may terminate this EULA immediately if you breach its terms. Upon termination, you must cease all use and destroy all copies of the Software, including backups.
5	INTELLECTUAL PROPERTY
All rights, title, and copyrights in the Software remain the exclusive property of DBSofts or its suppliers. This EULA grants no rights to third-party content accessible through the Software.
6	DISCLAIMERS AND LIMITATIONS
6.1	No Warranty.
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PURPOSE, OR NON-INFRINGEMENT. DBSofts DISCLAIMS ALL LIABILITY FOR ACCURACY, VIRUSES, OR DATA LOSS.
6.2	Limitation of Liability.
IN NO EVENT SHALL DBSOFTS BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES (E.G., LOST PROFITS, DATA LOSS) ARISING FROM USE OF THE SOFTWARE, EVEN IF ADVISED OF SUCH RISKS.
7	GENERAL
7.1	Entire Agreement.
This EULA supersedes all prior agreements and constitutes the complete understanding between the parties.
7.2	Amendments.
DBSofts reserves the right to modify this EULA. Continued use after changes constitutes acceptance.
7.3	Governing Law.
This EULA is governed by the laws of [Jurisdiction], without regard to conflict-of-law principles.
